Terms of Service

1. Introduction

These Terms of Service govern your access to and use of the GAVILAN platform, including our website, marketplace, analysis tools, and deal room services. By accessing or using GAVILAN, you agree to be bound by these terms.

2. Definitions

The following definitions apply throughout these Terms of Service:

  • "Platform" refers to the GAVILAN website, applications, and all associated services.
  • "User" means any individual or entity who accesses or uses the Platform.
  • "Buyer" means a User seeking to purchase an aircraft through the Platform.
  • "Seller" means a User listing an aircraft for sale on the Platform.
  • "Listing" means an aircraft advertised for sale on the Platform.
  • "Deal Room" means the secure transaction workspace provided by the Platform to facilitate aircraft purchases.
  • "Subscription" means a paid access plan that grants enhanced features and capabilities on the Platform.

3. Account Registration

You must provide accurate, current, and complete information when creating an account on GAVILAN. Each individual may maintain only one account. You must be at least 18 years of age to register for and use the Platform.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. GAVILAN reserves the right to suspend or terminate accounts that violate these Terms of Service.

4. Marketplace Rules

All Listings published on the Platform must be accurate and truthful. Sellers must have legal authority to sell the listed aircraft. Misrepresentation of any aircraft details, including specifications, condition, maintenance history, or pricing, is strictly prohibited.

GAVILAN is a platform facilitating connections between Buyers and Sellers. We are not a party to any transaction between Buyers and Sellers. GAVILAN does not guarantee the condition, legality, airworthiness, or title status of any listed aircraft. Users are responsible for conducting their own due diligence, including independent inspections, title searches, and legal review before completing any transaction.

5. Deal Room

Deal Rooms provide a structured framework for aircraft transactions, including milestone tracking, document management, and communication tools. The Deal Room is designed to facilitate the transaction process but does not constitute legal, financial, or aviation advisory services.

Escrow deposits referenced within a Deal Room are handled by independent third-party escrow agents. GAVILAN does not hold, manage, or have access to escrow funds at any time. Both parties to a transaction are responsible for retaining their own legal counsel. GAVILAN facilitates the transaction process but does not guarantee the completion of any deal.

6. Subscriptions and Payments

GAVILAN offers Free, Pro, and Max subscription tiers, each providing different levels of access to platform features, analysis tools, marketplace capabilities, and Deal Room functionality.

Subscriptions renew automatically at the end of each billing period unless cancelled prior to the renewal date. No refunds are provided for partial billing periods. GAVILAN reserves the right to modify subscription pricing with at least 30 days advance notice to affected subscribers.

7. Intellectual Property

All content, analysis tools, algorithms, data compilations, designs, and platform features are the proprietary property of GAVILAN Corporation and are protected by applicable intellectual property laws. Users may not copy, reproduce, distribute, reverse engineer, or create derivative works from any platform content without prior written permission from GAVILAN.

User-submitted Listing content, including photographs, descriptions, and specifications, remains the property of the submitting User. By publishing content on the Platform, you grant GAVILAN a non-exclusive, worldwide license to display, distribute, and promote that content in connection with the operation of the Platform.

8. Limitation of Liability

GAVILAN provides the Platform on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, GAVILAN is not responsible for:

  • The outcome of any transaction conducted through the Platform.
  • The condition, airworthiness, or legal status of any aircraft listed on the Platform.
  • Any financial losses arising from use of our analysis tools, performance data, or marketplace features.
  • Any disputes between Buyers and Sellers, including disputes over aircraft condition, pricing, or deal terms.

Our total aggregate liability shall not exceed the amount paid by you for Platform services in the twelve (12) months immediately preceding the event giving rise to the claim.

9. Disclaimers

Analysis results, performance data, operating cost estimates, and market valuations provided through the Platform are for informational purposes only and should not be used as the sole basis for aircraft purchase decisions. All aircraft performance data is derived from manufacturer publications and publicly available sources, and may not reflect the actual performance of any specific aircraft.

Users should consult qualified aviation professionals, including certified mechanics, aviation attorneys, and financial advisors, before making critical decisions regarding aircraft acquisition or operation.

10. Privacy

Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. Our Privacy Policy is available at /privacy. By using the Platform, you consent to the practices described in the Privacy Policy.

11. Modifications

GAVILAN may update these Terms of Service at any time. We will provide at least 30 days notice of material changes via email or platform notification. The "Last updated" date at the top of this page will be revised to reflect the most recent update. Continued use of the Platform after changes take effect constitutes your acceptance of the revised terms.

12. Termination

GAVILAN may suspend or terminate your account at any time for violations of these Terms of Service, fraudulent activity, or any conduct that GAVILAN determines, in its sole discretion, to be harmful to the Platform or its Users. Upon termination, your right to access the Platform ceases immediately.

Provisions of these terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, limitation of liability, disclaimers, and governing law.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware.
